Terms of Service

You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us immediately at steve@happyplace.co if you believe your account has been compromised.

You retain ownership of all content you add to your palace (“User Content”). By posting User Content, you grant Happy Place Labs LLC a worldwide, royalty-free, non-exclusive license to store, display, and serve that content as necessary to operate the Service — including making your palace viewable to others when you choose to publish it.

You represent that you have the rights to share any content you add, and that doing so does not violate any law or the rights of any third party. We do not claim ownership of User Content and will not use it for any purpose beyond operating the Service.

You agree not to:

• Post content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or that infringes the rights of others
• Impersonate any person or entity
• Scrape, crawl, or collect data from the Service through automated means without our written consent
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service in violation of any applicable law

We reserve the right to remove content that violates these Terms and to suspend or terminate accounts responsible for such violations.

The Service includes AI-powered room artwork generation. By using this feature, you consent to keepsake metadata (titles, artist names, and similar descriptive information) being sent to OpenAI to generate content. You may not use AI features to generate content that is harmful, deceptive, or prohibited by these Terms.

AI art generation is subject to a usage limit (currently 10 regenerations per user per month). We may adjust this limit at any time with reasonable notice.

The Palace Clipper extension requests access to the active browser tab — its URL, title, and images — solely to assist you in adding content to your palace. By installing the extension you consent to this access. The extension does not track your browsing history or operate in the background.

Palace lets you add keepsakes sourced from third-party databases (iTunes, The Movie Database, Google Books, IGDB, Spotify, and others). That content is subject to those services’ terms and is provided as-is. We do not guarantee its accuracy, availability, or fitness for any purpose. Links in your palace to third-party sites are provided for your convenience; we have no control over those sites and are not responsible for their content or practices.

We use Mixpanel to collect de-identified product analytics. How we use analytics data is described in our Privacy Policy.

The Palace application, its design, and all content we create (room themes, artwork templates, UI elements) are the property of Happy Place Labs LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

Your User Content remains yours. Nothing in these Terms transfers ownership of your User Content to us.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

AI-generated room artwork may vary in quality and accuracy. We make no guarantees about any specific output.

To the maximum extent permitted by applicable law, Happy Place Labs LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or service interruption — arising out of or relating to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed $100 USD.

You may stop using the Service and request account deletion at any time by contacting steve@happyplace.co. We will delete your account and data within 30 days.

We may suspend or terminate your access to the Service at our discretion if you violate these Terms or if we decide to discontinue the Service. If we discontinue the Service, we will provide reasonable advance notice where possible. Upon termination, your palace will become inaccessible.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction there.

We may update these Terms from time to time. When we make material changes, we will post a notice on the Service or notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.
